Inverter Control Functions Terms of Use


Laplace System Co., Ltd. (hereinafter referred to as "Party B") will provide the functions specified in Article 1 (hereinafter referred to as "the Functions") and the software corresponding to these Functions (hereinafter referred to as "Corresponding Software", and collectively, the Functions and Corresponding Software will be referred to as "the Functions, etc.") to the user (hereinafter referred to as "Party A") in accordance with the following Terms of Use (hereinafter referred to as "these Terms"). Party A may only use the Functions, etc. if they agree to these Terms, and once the use of the Functions, etc. has commenced, Party A will be deemed to have agreed to these Terms.
The latest version of these Terms can be confirmed on Party B's website (URL: https://www.lapsys.co.jp/en/support/rule/inverter_control.html).


Article 1 (Content of the Functions)

1. The Functions refer to the functions listed below, which Party A applies for and which have been accepted by Party B.

(1) Self-consumption Output Control Function: A function that controls the power generation amount based on the consumption of electricity and other factors.

(2) Remote Control Function: A function that, based on instructions from the remote monitoring service, outputs control instructions to the Inverter, storage batteries, and other equipment of the related equipment (hereinafter referred to as "related equipment"), according to the specifications of the equipment receiving control instructions from Party B's measurement and control system.

(3) On-site Control Function: A function that, based on instructions from Party B's web app, outputs control instructions to the Inverter, storage batteries, and other equipment of the related equipment (hereinafter referred to as "target equipment"), according to the specifications of the equipment receiving control instructions from Party B's measurement and control system.

(4) Output Control Function: A function developed by Party B in collaboration with an equipment manufacturer to meet the requirements for output suppression imposed on power generation operators and to enable output suppression through the development of power generation equipment.

(5) Storage Battery Control Function: A function that controls the power generation amount and the charging and discharging of storage batteries according to the consumption amount and battery charge level.

(6) Planned Value Control Function: A function that creates a control schedule based on the power generation plan value set by Party A, and outputs control instructions to the target equipment according to the specifications of the equipment following the schedule set by Party B's measurement and control system.

2. The Functions can be used in combination with the remote monitoring service provided by Party B. In this case, both Party A and Party B shall comply with the contents of the remote monitoring service agreement in addition to these Terms of Use.

3. In these Terms, unless otherwise mentioned, "Inverter" refers only to the narrow sense of Inverter that does not include the output control system.


Article 2 (Related Equipment)

1. When Party A uses or introduces the Functions, the responsibilities regarding the related equipment are as follows:

(1) The Inverter, storage batteries, and measurement systems are the property of Party A or the power generation operator, regardless of whether they are equipped with the corresponding software. Any responsibilities arising from such property shall be borne by Party A or the power generation operator.

(2) The connection, communication, management, maintenance, and preservation of the Inverter, storage batteries, measurement systems, and other related equipment shall be the responsibility of Party A or the power generation operator, including cases where subcontractors are engaged.

(3) Party B will not be responsible for the management or maintenance of the Inverter, storage batteries, and measurement systems in relation to the remote monitoring service.

(4) The manufacturing, design, and other matters concerning the Inverter, storage batteries, and other equipment shall be the responsibility of the equipment's seller and manufacturer.

(5) The safety management measures and risk assessments related to the operation of the target equipment, including cases where the target equipment operates due to malfunctions, misoperation, or incorrect handling of the Functions, shall be the responsibility of Party A or the manager of the related equipment.


Article 3 (Authentication Information)

1. Party A shall manage the authentication information required for using the Functions at their own responsibility.

2. Party A shall not lend, transfer, grant usage rights, or use the authentication information for the benefit of third parties without prior written consent from Party B.

3. If Party A becomes aware of any leakage of authentication information or unauthorized use by a third party, Party A shall immediately notify Party B of the same.


Article 4 (Disclaimer)

1.Party B makes no warranties or guarantees regarding the following items related to the use of the Functions, and Party A agrees to this:

(1) That the output control of power in the related equipment will be performed according to the schedule, and that it will be able to connect to the grid or sell electricity.

(2) That the expected amount of power generation will be maintained or that reverse flow can be completely prevented under any circumstances.

(3) That the related equipment and target equipment will operate normally, or as expected by Party A.

(4) That the storage battery control function and corresponding software will always maintain the optimal condition of the storage battery's charging and discharging, enable direct demand cuts, and completely prevent power outages.


Article 5 (Exemption from Liability)

1.Party A agrees to the following, except for damages specified under product liability laws and Party B's separate warranty for the measurement system:

(1) Party B will not be responsible for any costs, lost profits, or damages incurred by Party A, the power generation operator, or third parties from the cessation or failure of related equipment to operate as intended, regardless of the cause.

(2) The recovery or restoration of related equipment in the event of a failure is the responsibility of Party A or the power generation operator.

(3) Party B will not be responsible for the effects of power outages or any damages caused by power outages.

2. Party B will not be liable for damages caused by the malfunction of the Functions due to the following:

(1) Internet disconnections, communication failures, or other issues between the remote monitoring service and the devices used to view or use it.

(2) Failures, malfunctions, or communication failures of Party B’s measurement system or target equipment.

(3) Power outages affecting Party B’s measurement system or target equipment.

(4) Misoperation of the remote monitoring service.

(5) Specification errors not caused by Party B.

(6) Issues arising from on-site adjustments or services required for the introduction of the Functions.

(7) Defects or malfunctions caused by updates to the related equipment, target equipment, or Party B’s measurement and control system.

(8) Failures in Party B’s measurement system, target equipment, wiring, or communication environment.

3. Party A will take full responsibility for any control instructions issued using this service.

4. Party A will determine the settings for the target equipment at their own responsibility when using this service.

5. Party A agrees not to pursue claims against the sales company or installation company for matters where Party B is exempted from liability, unless the sales or installation company has independent fault. If Party A makes a claim for damages against the sales or installation company, Party B may seek reimbursement from Party A.


Article 6 (Remote Control Function & On-site Control Function)

1. Party A confirms that the remote control function and on-site control function are only for outputting control signals and that Party B makes no guarantees regarding the results of the control signal output.

2. Party A agrees to the following, and even if damage occurs due to the failure of the remote control function or on-site control function to operate as expected, Party B will not be responsible:

(1) A time lag due to communication issues between the time the control instruction is made and the time it is actually executed.

(2) Service interruptions, maintenance, or other causes that make the remote control function or on-site control function inoperable.

(3) If specific conditions are set for using the remote control or on-site control functions, Party A may not be able to use them under certain circumstances.

(4) The remote control function and on-site control function cannot be used simultaneously, and using them together may result in incorrect operation.

3. When Party A uses the remote control or on-site control function for storage batteries, they must perform an operational check with a chief engineer present during installation.


Article 7 (Planned Value Control Function)

1. Party B will not be responsible if the planned generation does not occur as planned due to the following:

(1) Setting a planned value higher than the maximum generation capacity.

(2) Output control by the electric power company.

(3) Communication issues between devices used to upload planned values and the remote monitoring service server.

(4) Other similar issues.

2. Party A confirms that when their planned value differs from the output command value from the transmission and distribution company, the control will be based on the smaller value.

3. Party A is responsible for uploading the planned values. Party B is not responsible for any third-party uploads or related actions.


Article 8 (Corresponding Software)

1. The corresponding software will be provided by Party B either pre-installed or after installation on the measurement system.

2. If on-site adjustments or software updates are needed for the installation of the corresponding software, Party A will bear the cost unless there is a separate agreement with the sales or installation company or third party.


Article 9 (Contract)

1. If there is a conflict between the remote monitoring service agreement, these Terms, and any separate agreement, the terms of the remote monitoring service agreement and these Terms will take precedence.

2. Party B may change these Terms under Civil Code Article 548-4. Party B will notify Party A of any changes with a 10-day notice, after which Party A's continued use of the Functions will be deemed as acceptance of the changes.

3. Even if a basic contract is in place, Party A confirms that these Terms will take precedence.

4. If Party A is not the power generation business operator of the related facilities, Party A shall explain the contents of the remote monitoring service contract and these terms to the power generation business operator of the related facilities and obtain the consent of the power generation business operator to the contents of the remote monitoring service contract and these terms. If the power generation business operator does not agree to the contents of the remote monitoring service contract and these terms, Party A shall not be able to use this function, etc.

5. If any provision of these Terms is held to be invalid or unenforceable for any reason, the other provisions of these Terms will not be affected and these Terms will be construed as if such provision had not been included.


Article 10 (Miscellaneous)

1. Party A agrees that the use of the corresponding software does not transfer any intellectual property rights or ownership to Party A.

2. Party A agrees that copying, reverse engineering, decompiling, disassembling, and attempting to derive source code of the corresponding software is prohibited by Party B.

Special Provisions Regarding Laplace System's Battery Storage System

The customer agrees to the following special provisions when using the Laplace System's battery storage system (hereinafter referred to as "Battery Storage System") provided by the supplier.

1. The customer confirms that the transaction details between the customer and the supplier do not include installation work for the battery storage system, maintenance of the battery storage system, or other related services.

2. The customer agrees that the supplier assumes no responsibility for the following:

(1) Any damages arising from the use of the battery storage system or the inability to use the battery storage system (including secondary compensation such as electricity costs, etc.)

(2) Damages related to malfunctions of the DCDC converter.

3. The warranty conditions for the battery storage system are as specified in a separate warranty document.
