Laplace System Inc. provides the services outlined in Article 1 of this agreement under the following terms of use. Applicants and users of this service must only apply for or use the service if they agree to these terms. Once the service is started by the user, both the applicant and user are considered to have agreed to these terms. The latest version of these terms can always be checked on our website (URL: https://www.lapsys.co.jp/en/support/rule/index.html).
1.The following terms are defined as follows in these terms of use:
(1) "These Terms": Refers to these terms of use.
(2) "Our Company": Refers to Laplace System Inc.
(3) "Measurement Display Terminal": Refers to the necessary measurement and display terminal for using the service, including the standard equipment of a communication SIM card and antenna in the basic service.
(4) "Inverter": Refers to the power conditioner excluding the output control system.
(5) "Related Equipment": Refers to the equipment where the supplied items are installed.
(6) "This Service": Refers to the combination of services provided, with details described during the application. Optional services can be used by applying to our company either during or after the application.

@Remote Monitoring Service: This refers to a service that collects data such as generated power from measuring display terminals, stores it on a server, and provides it over the internet.
ACommunication Line Service: This refers to a service where the use of communication lines is provided by the telecommunication provider specified at the time of application.
BSupplied Equipment: This refers to the equipment required to receive the service from us, which will be defined in the specifications.
CRemote Control Function: This refers to the function where, based on instructions from the remote monitoring service, control instructions are output from our measurement and control system to the related equipment such as the PCS, storage batteries, and other equipment, according to the specifications of the equipment to be controlled.
DLocal Control Function: This refers to the function where, based on instructions from the web application provided by us, control instructions are output from our measurement and control system to the related equipment such as the PCS, storage batteries, and other equipment, according to the specifications of the equipment to be controlled. The term "Target Equipment" refers collectively to the equipment that receives control instructions in both the remote control and local control functions.
EOutput Control Function: This refers to a function developed in collaboration with device manufacturers, enabling cooperation with requests for output suppression and corresponding adjustments to the power generation equipment.
FSelf-Consumption Output Control Function: This refers to the function that controls the generation power based on the power consumption.
GPlanned Value Control Function: This refers to the function that creates a control schedule based on the generation plan value set by the user and outputs control instructions from our measurement and control system to the target equipment according to the specifications of the equipment.
HWeb Camera Service: This refers to a service that displays images captured by a web camera on the remote monitoring screen via the internet.
ICamera Image Option: This refers to an optional service where images captured by a web camera are stored on a server for a certain period and displayed on the remote monitoring screen via the internet.
JSmart Meter Option: This refers to an option that uses data such as purchased power quantity from a smart meter installed by the electric utility for display on the remote monitoring screen, etc.
KSolar Link ZERO Equipment Warranty Option: This refers to an option to extend the warranty period of additional measurement display terminals. You can choose between "Solar Link ZERO 5-Year Equipment Warranty Option," "Solar Link ZERO 10-Year Equipment Warranty Option," or "Solar Link ZERO 20-Year Equipment Warranty Option," which extend the warranty until the end of the initial service period, or the "Solar Link ZERO Contract Term Equipment Warranty Option," which extends the warranty until the end of the service period at the time the option is granted.
LLine Share Option: This refers to an option that allows the communication line service (A Communication Line Service) to be used for equipment or services other than this service, as specified at the time of application.
MSecurity Option: This refers to an option where information detected by a security sensor is notified to the user via the remote monitoring screen or email.
(7) Inverter Control Functions: This refers to the collective term for "Remote Control Function," "Local Control Function," "Output Control Function," "Self-Consumption Output Control Function," and "Planned Value Control Function."
(8) Control Function-Compatible Software: This refers to software compatible with PCS control functions.
(9) Inverter Control Functions, etc.: This refers to the collective term for Inverter control functions and control function-compatible software.
(10) Camera-Related Services: This refers to the collective term for "Web Camera Service" and "Camera Image Option."
(11) User: This refers to the person who ultimately uses the service.
(12) Orderer: This refers to the person who directly places an order for the service with us through a purchase order.
(13) Applicant: This refers to the person who applies for the service by following our prescribed application process and is generally either the user or the orderer.
(14) New User: This refers to the new user in the case where a user change procedure is carried out during the service period.
(15) Additional User: This refers to a person who is granted the same rights as the user and is allowed to use the service based on our prescribed application process.
(16) Additional User Applicant: This refers to the user or applicant who requests the registration of an additional user with us.
(17) Target Site: This refers to the monitoring screen on the remote monitoring service where information about the related equipment is displayed.
(18) Laplace ID: This refers to the common ID required to use various services provided by us, including this service. The Laplace ID can be obtained by following our prescribed procedures.
(19) My Page: This refers to a personalized management web page provided in conjunction with the Laplace ID.
(20) Authentication Information: This refers to the information needed for authentication, such as the ID and password, required to use the remote monitoring service.
(21) Target Equipment: This refers to the input/output devices or other equipment related to control that receive control instructions in relation to Inverter control functions.
(22) Service Start Date: This refers to the date when the equipment necessary to use the service (or, in the case of a service with no supplied equipment, the equipment ordered separately such as measurement instruments from us) is delivered. However, if we notify the user of a different start date, that date will be considered the service start date.
(23) Service Provision Period: This refers to the period from the service start date until the expiration of the selected service duration, which begins on the first day of the month following the service start date. If a contract extension for the service provision period is established between the applicant or user and us during the service period, the period will extend from the day after the original expiration date for the extended duration. In the case of a user change, the remaining service period will apply.
(24) Manuals, etc.: This refers to the latest user manual or installation manual included with the supplied equipment or available on our website or the manufacturer's website.
(25) Warranty-Eligible Product: This refers to products that are eligible for warranty services.
(26) Defective Product: This refers to a warranty-eligible product that is defective.
(27) Warranty Response: This refers to the repair of a defective product or the shipment of an equivalent replacement product.
1. The contract regarding the provision of this service shall be established when the applicant submits an application for the use of this service to us in accordance with the prescribed procedure, and we accept the application.
1. The purpose of this agreement and any related contracts is for us to provide the services specified in Article 1 to the user.
1. The applicant shall provide truthful and accurate information when applying for this service.
2. The user confirms that if incorrect information is provided during the application, the service may not function properly. We shall not be held responsible for any damages caused to the applicant or user due to the submission of false or incorrect information by the applicant.
1. When the orderer is the applicant for this service, the orderer guarantees that they will inform the user that this agreement is part of the contract for providing this service, and will ensure compliance with the obligations stipulated in this agreement.
2. The order process between us and the orderer regarding this service shall be completed separately from the application process, upon issuance of an order by the orderer and our acceptance of the order through an order acceptance letter.
3. The applicant shall be jointly responsible for the use of this service by the user.
4. The applicant must immediately notify us if they become aware of any breach or potential breach of this agreement by the user, and shall follow our instructions.
5. The applicant guarantees that the application details do not contradict the user’s intention, and agrees to resolve any disputes arising from the application details at the applicant's responsibility.
1. We may change the content of this agreement based on Article 548-4 of the Civil Code. In such cases, we will notify the applicant and user of the revised terms at least 10 days in advance by the method specified in Article 13. If, after the notice period, the applicant or user continues to use the service without raising any objections to the revised terms, it will be deemed that both parties have agreed to the revised terms.
1. Notwithstanding the provisions of Article 38, the applicant or user may transfer their rights and obligations under this agreement to a third party through the designated user change procedure.
2. Upon completion of the user change procedure, the new user shall be considered the user under this agreement and shall agree to undertake the obligations of the user under this agreement.
3. After the completion of the user change procedure, we may suspend the use of the service by the previous user and additional users.
4. Notwithstanding the provisions of Paragraphs 1 to 3, users of camera-related services shall be the same as the users of the remote monitoring service, and if there is a change of user for the remote monitoring service, and no special notice has been provided to us, the new user shall automatically inherit the position of the service user.
5. Any damages or disputes arising in relation to the user change procedure shall be resolved between the applicant, user, or new user, and we shall not be responsible for them.
6. If we incur any damages due to the user change, we may claim compensation from the applicant, user, or new user.
1. As a general rule, we will provide the remote monitoring service 24/7. However, this does not apply in cases specified in Article 21, and regarding communication line services, it shall be governed as set forth in Article 26.
2. Backup of data such as power generation amounts obtained by the user through the use of this service shall be done at the user’s responsibility. We shall not be responsible for the storage or management of such data.
3. After the contract is formed as specified in Article 2, the applicant and user agree that the specifications, equipment configuration, functions, designs, and contents of the service cannot be changed. If changes are made after the contract formation, we may charge the applicant separately for the associated costs.
1. The service fee for this service shall be as specified in the order sheet and order acceptance letter between us and the orderer.
2. If the provision of the service under this agreement is terminated during the contract period, except for reasons attributable to us, we will not refund the service fee for the remaining service years.
3. Reasons attributable to us do not include situations where we proposed to provide a successor or alternative service, and the user chose not to use such service.
1. The right to use the service is granted to the user.
2. In addition to the provisions of Paragraph 1, the following cases will grant third parties equivalent usage rights to those of the user. In such cases, the user or the additional user applicant shall notify the third party of the terms of this Agreement and ensure that the third party is subject to the same obligations as the user under this Agreement, guaranteeing compliance with the terms of this Agreement.
(1) When the user performs the required action on the user’s page and grants usage rights to a third party (hereinafter referred to as the "grantee of usage rights").
(2) When the applicant or user applies as an additional user applicant, and the third party is registered as an additional user.
3. The user and additional user applicant agree to the following when granting usage rights:
(1) The granting of usage rights and application for additional users will be carried out at their own responsibility.
(2) The usage of the service by the grantee of usage rights or additional users will be considered as the user's own usage.
(3) The user will be jointly responsible for the usage of the service by the grantee of usage rights or additional users.
(4) The grantee of usage rights and additional users will be granted management rights equivalent to those of the user, including the right to grant usage rights and register (if applicable) or view personal information.
(5) Even if an increase in the number of grantees of usage rights or additional users causes temporary congestion or difficulties in using the remote monitoring service, we will not be held liable.
4. Regardless of the presence of usage rights under Paragraphs 1 and 2, the user agrees that, unless otherwise specified, for a certain period, upon entering the specified information on the designated website as required by us, functions for viewing or on-site work may be provided to third parties. This function is provided to assist the user in on-site work for using the service, and is valid only within the period set by us. It can also be suspended by user actions on the designated site.
5. Upon request by the user or an additional user, we may display the information from the target site on a bulk monitoring screen separately contracted by the additional user. The display will be stopped once we receive a notification from the user or additional user to stop the display, and this will not be stopped simultaneously with the cancellation of the additional user option.
1. After completing the application procedure, we will grant authentication information to the user.
2. After receiving the application for an additional user, we will grant authentication information to the additional user or the applicant for the additional user.
1. The recipient of the authentication information shall manage it at their own responsibility.
2. The recipient of the authentication information must not lend, transfer, or permit its use by a third party, nor use it for the benefit of a third party without prior written consent from us.
3. If the recipient of the authentication information becomes aware of any leakage or unauthorized use of the authentication information by a third party, they must immediately notify us.
1. Unless otherwise specified in this Agreement, notifications from us will be made in a manner we deem appropriate, such as via email, written document, or posting on our website.
2. Notifications in Paragraph 1 will take effect when the email is sent, the written document is dispatched, or it is posted on our website.
3. If there are any changes to the information registered during the service application, the applicant or user must promptly update the registration details. We are not liable for any failure of notification or damages caused by the applicant or user’s failure to update the registration details.
1. The user shall be responsible for preparing and adjusting the necessary equipment, software, and rights and obligations with others, at their own cost and responsibility.
2. The user shall take security measures to prevent computer virus infections and misuse of networks, at their own cost and responsibility.
3. The user agrees that there may be cases where the service cannot be used due to the network environment or communication line conditions at the installation site.
4. The user confirms that the equipment related to PCS, batteries, measurement systems, and other related facilities is the property of the user or the power generation business operator, and any responsibility arising from this property will be the responsibility of the user or the power generation business operator.
5. The user shall bear the cost and responsibility for the connection, communication, management, maintenance, and restoration (including recovery and restoration when the related equipment stops) of the Inverter, batteries, and other related equipment, even if outsourced to a third party.
6. We are not responsible for the management or maintenance of PCS, batteries, or our measurement systems related to remote monitoring services.
7. The user shall be responsible for ensuring the environment necessary for using the service, including wiring between devices and the maintenance and upkeep of related equipment, including delivery items. We are not responsible for this in any way.
8. The manufacturer and seller of the Inverter, batteries, and other related equipment are responsible for matters related to the manufacturing, design, and other aspects of the products and services.
9. The applicant and user must obtain the ownership rights, usage rights, or consent from the legitimate rights holders related to the location, facility, and equipment subject to measurement necessary for using the service before starting to use the service. The applicant and user agree to resolve any disputes that arise with third parties regarding these rights or consents at their own cost, and they agree to compensate us for any additional costs or damages incurred by us.
1. We will provide support for various inquiries related to the maintenance of the service during our business hours, via phone or email.
1. We will manage the service properly with due care, in accordance with the duties of a good administrator, to ensure that no disruptions occur. The management of the service includes security measures for our servers, but this does not apply to communication line services.
2. If a disruption occurs in the service, we will promptly notify the user and work to resolve the issue.
1. In using this service, we prohibit the following acts. If any of these acts are violated, we may take necessary measures such as termination, suspension of use, or claims for damages without any notice.
(1) Infringing or potentially infringing on the intellectual property rights or other rights of our company or third parties.
(2) Acts that cause damage to our company or third parties.
(3) Acts that interfere with the operation or system of this service.
(4) Acts that modify or delete the content of this service or the information that can be used through this service.
(5) Sending or posting harmful computer programs such as viruses.
(6) Acts of duplication, decompilation, reverse engineering, disassembling, attempting to extract source code, encryption, modification, or creating derivative works of all or part of this service.
(7) Violating this agreement or other rules established by our company.
(8) Other acts deemed inappropriate by our company.
1. We may restrict all or part of the use of this service if the applicant or user falls under any of the following conditions:
(1) If we determine that the applicant or user may cause damage to us or third parties, such as by spreading computer viruses or sending large amounts of emails.
(2) If we are unable to contact the applicant or user.
(3) If the applicant or user has received an administrative or other public authority sanction.
(4) If the applicant or user fails to pay the usage fees by the deadline specified by our company.
(5) If we determine that it is necessary to impose usage restrictions based on reasonable grounds.
2. We will not be responsible for any damage arising from usage restrictions.
1. We do not provide any guarantees regarding the following items, and the applicant and user agree to this. However, this does not apply if we act with intent or gross negligence.
(1) That no malfunction or failure will occur in the user’s equipment due to the use of this service.
(2) That no interruption or errors will occur during the use of this service.
(3) That the expected power generation will be maintained or secured by using this service.
(4) That the related equipment can be connected to the grid or sold.
(5) That the related equipment will operate normally or as expected by the user.
(6) That the power output control will be carried out as scheduled when using the output control function and corresponding software.
(7) That useful or expected images will be captured when using camera-related services.
1. We will not be responsible for the following items. However, this does not apply if we act with intent or gross negligence.
(1) Any malfunctions that occur in the user’s environment, such as PC or smartphone use.
(2) Malfunctions or damage to the user’s power generation equipment or surrounding devices.
(3) Malfunctions caused by the user applying different settings to the equipment than originally intended.
(4) Damage caused by changes, interruptions, or termination of the service content.
(5) Loss of measurement data due to malfunctioning of the measurement or display devices.
(6) Damage caused by computer viruses.
(7) Damage due to unauthorized access or interception of communication paths.
(8) Damage caused by hardware or software produced by third parties.
(9) Damage caused by malfunctions of services provided by telecommunications providers.
(10) Damage caused by power outages and their effects.
(11) Damage caused when images could not be captured or viewed while using camera-related services, or when they were not retained for a certain period.
(12) Malfunctions or damage related to communication with other third-party products/services when using the line-sharing option.
(13) Damage caused by malfunctioning or non-operation of the security option. caused by malfunctioning or non-operation of the security option.
(14) Disputes or damages between the user and third parties arising from the use of this service, including images captured by the camera-related service.
(15) Any damage arising from the use of this service.
2. In the event that related equipment temporarily or permanently stops working, or if control of the target device is not performed as intended when using PCS or other control functions, we will not be responsible for any costs incurred for recovery or restoration of the related equipment or its devices, lost profits such as sales revenue, or any other damages caused to power generation operators or third parties, regardless of the cause.
1. We may suspend the provision of this service in the following cases:
(1) When conducting regular maintenance, inspection, or repairs necessary for providing this service.
(2) When performing emergency maintenance on equipment necessary for providing this service.
(3) When it is unavoidable for operational reasons related to this service.
(4) When we are unable to provide this service due to force majeure.
2. If the user violates these terms and conditions, we may suspend the provision of all or part of the service without prior notice.
1. We are responsible for contract non-conformity concerning the delivered goods and will, if a non-conformity regarding type, quality, quantity, or other aspects of the goods (hereinafter referred to as "Contract Non-conformity") that was not easily detectable at the time of delivery is discovered, respond by providing replacements, reducing the payment, repairing the non-conformity, or covering the costs of repairs, provided that the discovery occurs within one year from the inspection date, based on the orderer's request. However, this does not apply if the Contract Non-conformity was caused by reasons not attributable to us, and we may respond in a manner different from the orderer's request, provided that it does not impose an undue burden on the orderer.
1. If damage occurs to the life, body, or property of the applicant, user, or any third party in connection with the delivered goods or products incorporating the delivered goods, and if the applicant requests us to investigate whether the damage is due to a defect in the delivered goods, we will cooperate in investigating the cause.
2. If the investigation results in confirming that the damage was caused by a defect in the delivered goods, we will resolve the issue at our own expense.
3. If damage caused by a defect in the delivered goods or products incorporating the delivered goods results in claims for damages from the user or any third party to the applicant or user, and the applicant or user pays such claims, we will compensate for the damage. The scope and amount of compensation will be determined through discussions between the applicant or user and us.
4. Notwithstanding the provisions of Sections 1 to 3, we will not be liable in the following cases:
(1) If the defect in the goods could not have been recognized at the time of delivery due to the scientific and technological standards in place at that time.
(2) If the defect in the goods was caused by following the applicant's or orderer's specifications or instructions, and if the defect was not due to our negligence.
(3) If the defect in the goods was caused by compliance with the standards set by public authorities.
(4) If the defect in the goods was caused by modifications or failure to follow our prescribed usage or storage conditions.
1. If the user discovers any event similar to those described in Articles 22 and 23, they must promptly inquire with the seller of the delivered goods.

2. Notwithstanding the warranty period specified in the previous paragraph, if the Solar Link ZERO Equipment Warranty Option is applied, the warranty period for additional items will be governed by the duration of the relevant option. The Solar Link ZERO Equipment Warranty Option can only be applied if the applicant meets the usage conditions set by our company.
3. If a defect occurs in a warranted product under normal usage conditions based on the user manual or similar documents during the warranty period, we will, at our discretion, provide warranty service for the defective item free of charge, depending on the situation and cause of the defect. Applicants or users wishing to request warranty service must contact us by phone or email, cooperate by providing necessary information, and comply with requests to send defective items.
4. After the warranty period or in cases falling under the following conditions, service will be charged. If, after our confirmation, the situation falls under the following, we will charge the costs incurred for our response:
(1) If the warranty certificate is not presented.
(2) If the contents of the warranty certificate are intentionally altered.
(3) If the failure or damage is caused by use contrary to the instructions in the user manual.
(4) If the failure or damage is due to misuse, modification, or improper repairs.
(5) If the failure or damage is caused by transport, movement, or dropping after purchase.
(6) If the failure or damage is caused by lightning, fire, public nuisance, earthquakes, floods, or other natural disasters.
(7) If the warranted product is installed in a salt damage area and failure, degradation, defects, or damage occur, regardless of the cause.
(8) If failure, degradation, defects, or damage are caused by the installation environment, such as animal or insect damage.
(9) If failure or damage is caused by other equipment or systems connected to the warranted product.
(10) If the item does not fall under the warranted product or additional warranty items.
(11) If our company determines that a chargeable response is necessary.
5. Regarding the warranty, we do not assume any responsibility for the following:
(1) The restoration or recovery of data (including power generation data) lost or damaged due to defects, or data stored in delivered goods or other equipment.
(2) On-site system maintenance, operation verification after delivery and installation, or work involving site visits.
(3) Indirect, consequential, or special damages caused by breakage, malfunction, or other failures.
6. For repaired items, sent equivalent products, and exchanged products, the warranty provisions from paragraphs 1 through 5 will apply, and their warranty period will be the same as the original warranty period.
7. If we choose to send an equivalent item instead of repairing the defective product, the ownership of the defective product or the replaced parts will belong entirely to us.
8. In cases where a lightning protection warranty is included as an additional guarantee, if the SPD (Surge Protection Device) is correctly grounded and a failure or damage occurs due to lightning, we will, notwithstanding the provisions of paragraph 4, provide warranty service free of charge. However, the warranty will only cover the products protected by the SPD, and other items, including the SPD itself, will be excluded from the warranty.
9. For failures or damages caused during use in salt damage areas, unless a separate salt damage warranty is applied at the time of the application, we will not provide any warranty service, regardless of whether the cause is salt damage.
1. By applying for this service, the user agrees to have investigated and confirmed the details of the communication services set by the communication provider specified at the time of application. We do not guarantee that the user will always be able to use the communication line through this service, and we are not responsible if the communication line service is unavailable.
2. The user agrees to use the wireless communication function included in this service solely for communications necessary for using the service.
3. If we determine that it is difficult to continue providing the communication line service, we may propose switching to an alternative communication line service. In such cases, the switched service will be provided in accordance with the terms set by the communication provider offering that service.
4. The SIM card required for using the communication line service will be provided to the user in the installed state along with the delivered products. The applicant and user confirm that ownership of the SIM card does not transfer to the user through the use of this service.
5. If the user is using the Line Share Option, they may use the communication line service for communication with third-party products or services, regardless of the provision in paragraph 2.
6. The user agrees that using the communication line with third-party products or services through the Line Share Option may cause congestion or delays in the line, which could disrupt communication for other functions of the service.
1. If the user is not a power generation operator, they shall obtain the consent of the power generation operator for these terms. If the power generation operator does not agree to these terms, the user shall not be able to use the PCS and other control functions.
2. Control function software will be provided to the user by us through pre-installation or post-installation on the measurement system.
3. If adjustments, software updates, or other work are required on-site for the use or installation of the control function software, the user shall bear the on-site adjustment costs and other actual costs incurred unless there is a separate agreement with the orderer, contractor, or other third parties regarding cost-sharing.
4. We shall not be held responsible for any damages (including lost profits such as feed-in tariffs) arising from the use of Inverter or other control functions, except for those covered under product liability law and the warranty response specified in Article 25. The user agrees not to claim compensation for damages from us, the applicant, or any other vendor of the supplied products.
5. If the user claims damages from the applicant or other vendor of the supplied products in violation of Section 4, and we are required to cover such damages, we may seek reimbursement from the user for the amount we paid.
6. The user agrees that we shall not be held responsible for any damages caused by the following incidents where PCS and other control functions fail to operate correctly, even if damages occur:
(1) Internet disconnections, communication failures, or other malfunctions between the terminal (PC, smartphone, etc.) used to view the service and the service server, or between the service server and the supplied products.
(2) Communication failures between devices, including malfunction or disconnection of wiring.
(3) Power failure or non-supply of power to the supplied products or target devices.
(4) Misoperation of the service.
(5) Errors in the service specifications not caused by our fault.
(6) Malfunctions caused by on-site adjustments or other services related to the use or installation of the PCS and other control functions that were not detected during the initial inspection.
(7) Other failures or malfunctions of the supplied products, target devices, wiring, or communication environment.
7. The user is responsible for any control instructions using this service.
8. The user shall be solely responsible for setting the configuration of the target devices when using this service.
9. The user confirms that safety management measures and risk assessments concerning the operation of target devices will be carried out by the user or the administrator of the related equipment, including when the PCS and other control functions malfunction, misoperate, or are misused.
1. The user acknowledges and confirms that remote and local control functions only output control signals and that we do not guarantee the results after the control signal is sent.
2. The user agrees to the following conditions, and in the event that damage occurs due to the inability to issue sufficient control instructions by the remote or local control functions, we shall not be held responsible:
(1) A certain time lag may occur between the output of control instructions and actual function operation due to communication issues.
(2) During maintenance or updates to the service or web app, the service or web app may become inaccessible, and remote or local control functions may not operate.
(3) There may be instances where remote or local control functions cannot be used due to additional usage conditions defined for each site.
(4) Remote and local control functions cannot be used simultaneously, and if attempted, the functions may not operate as intended.
3. If the user gives control instructions for the battery using remote or local control functions, including cases of outsourcing, the user must ensure that the operation of the functions is confirmed in the presence of the chief engineer at the relevant equipment during installation.
1. The user acknowledges and agrees that the self-consumption output control function cannot completely prevent reverse power flow in any situation.
1. We shall not be held responsible for failure to generate electricity as per the planned value due to the following reasons:
(1) Setting a planned value exceeding the maximum possible generation capacity.
(2) Output curtailment by the electric power company.
(3) Internet disconnections, communication failures, or other malfunctions between the terminal (PC, etc.) used to view the service and the service server, or between the service server and the supplied products.
(4) Other similar issues as listed above.
2. The user confirms that if the planned value set by the user differs from the output command value from the power transmission and distribution company, the control will be performed to match the smaller value between the planned value and the output command value.
3. The user is responsible for uploading the planned value. We shall not be held responsible for any issues related to the planned values uploaded by the user, even if a third party uploads or performs related work.
1. The user may not use any web cameras other than the supplied products in camera-related services.
2. The user is responsible for determining the installation location and the shooting range for the web camera.
3. The user acknowledges that due to network environments and communication conditions at the site, there may be instances where images cannot be acquired.
4. The rights to images captured through the use of camera-related services belong to the user. However, the user agrees that we may view, use, or provide the images to third parties for the following purposes:
(1) For the provision or management of this service.
(2) For user support.
(3) In response to disclosure requests from government agencies, courts, etc., based on laws and regulations.
1. The Web Camera Service does not include the recording or storage of images captured by the web camera.
2. The Web Camera Service is provided with the assumption that the remote monitoring service will be used.
1. Data accumulated on the server through the use of the camera image option will be deleted after a certain period. If the user wishes to retain images for longer than this period, the user is responsible for saving them.
1. The user is responsible for reviewing the terms of use of the relevant electric power companies for the use of smart meters in this service.
2. The user acknowledges that due to local communication conditions, there may be instances where communication between the supplied measurement terminal and the smart meter fails, resulting in inaccurate data acquisition or display.
3. The smart meter option is not a substitute for the electric power company’s billing service. We are not responsible for any discrepancies between the actual purchased electricity amount and the data displayed by this service.
4.The user agrees to the following when using the smart meter option at the target site:
(1) We will obtain the necessary ID, password, and authentication information to communicate with the smart meter for support or warranty purposes.
(2) All individuals with authorization at the target site will have access to and be able to use this authentication information.
1. If the Company is delayed or fails to fulfill its obligations under this Agreement due to force majeure, such as natural disasters, infectious diseases, wars, civil wars, revolutions, national disintegration, riots, fires, explosions, floods, strikes, labor disputes, or amendments to laws by government agencies that significantly affect this Agreement, or other circumstances beyond the Company’s control, it will not be considered a violation of this Agreement, and the Company will not be held responsible.
1. The copyrights and all other intellectual property rights regarding the Company’s creations are owned by the Company. The use of this service under this Agreement does not transfer these rights to the applicant or user.
1. The applicant and the user agree that if there is any contradiction between this Agreement and any separate contract or document made between them and the Company, the contents of this Agreement will take precedence, regardless of the order of the contract’s conclusion (except in the case stated in paragraph 2 of this article).
2. The applicant and the user agree that if a provision different from this Agreement is to be applied individually, it must be explicitly stated in the contract that applies such provisions and both parties must have the proper authority to sign that contract.
3. The applicant and the user agree that even if there is a provision in a separate basic sales contract (hereinafter referred to as the “Basic Contract”) made between the Company and them that takes precedence regardless of the order of conclusion, this Agreement will take precedence over the Basic Contract.
1. The applicant and the user shall not assign their position under this Agreement to a third party, nor transfer, assign, or pledge any rights or obligations arising from this Agreement to a third party without prior consent from the Company, except as provided in Article 7.
1. The applicant and the user shall not disclose or leak any confidential information concerning the Company’s technology, sales, or other business matters that they have learned while performing this Agreement, without the prior written consent of the Company. However, the following information is excluded from the definition of confidential information:
(1) Information that is already publicly known at the time of disclosure, or becomes publicly known without fault of the applicant or the user.
(2) Information that the applicant or user already possesses at the time of disclosure.
(3) Information obtained lawfully from a third party without any confidentiality obligation.
(4) Information that the applicant or user independently developed or created before disclosure.
2. The Company will treat data such as generated electricity collected through this service as confidential information.
3. Notwithstanding the provisions of paragraph 1, the Company may disclose necessary information to a third party to whom it outsources business related to this service. In such cases, the Company will impose similar confidentiality obligations on the third party.
1. The Company will handle personal information provided by the applicant or user related to the provision of this service in accordance with the privacy policy set forth on the Company’s website (URL: https://www.lapsys.co.jp/en/policy/index.html), and will not use it for purposes other than those defined in the privacy policy, such as providing the service and the Company’s promotional activities.
2. The applicant and the user guarantee to the Company that they have obtained consent from the individual concerned (hereinafter referred to as "the individual") for the provision of personal information to the Company and must not provide personal information without the individual’s consent.
3. Anyone authorized to use this service acknowledges that their personal information registered on remote monitoring service settings can be viewed by others.
4. The user acknowledges that images taken through camera-related services may involve personal information, and if applicable, will handle such information appropriately.
1. The user agrees that the Company may use data such as generated electricity collected through this service as anonymized information.
1. The applicant, user, and Company represent and warrant that they are not involved with any antisocial forces such as organized crime groups or other similar entities and that they will not be involved with any such entities in the future.
(1) Having a relationship in which it is recognized that organized crime members, etc., control the management.
(2) Having a relationship in which it is recognized that organized crime members, etc., are substantially involved in the management.
(3) Having a relationship in which it is recognized that organized crime members, etc., are improperly utilized for the purpose of securing illicit benefits for oneself, one's company, or a third party, or for the purpose of causing harm to a third party.
(4) Having a relationship in which it is recognized that funds or other benefits are provided to organized crime members, etc., or that other forms of assistance are offered.
(5) Having a relationship in which an officer or a person substantially involved in management has a socially reprehensible connection with organized crime members, etc.
2. The applicant, user, and Company guarantee that they will not engage in any acts related to the following through themselves or any third parties:
(1) Violent demands
(2) Unjust demands beyond legal responsibilities
(3) Threatening or using violence in relation to transactions
(4) Spreading rumors, using deceit, or using force to damage the other party’s reputation or interfere with their business
(5) Any other acts similar to the above.
1. If either the applicant, user, or Company suffers damages due to reasons attributable to another party, they can claim compensation for the actual normal and direct damages.
2. The total amount of compensation for damages under paragraph 1 is limited to 10,000 yen, regardless of the cause of the claim, such as breach of contract or legal non-compliance. However, damages suffered by the Company due to violations of Articles 12, 17, 39, and 42 by the applicant or user are excluded from this limitation.
3. Notwithstanding the provisions of paragraph 1 and 2, the Company will not compensate for any lost profits, such as from the sale of electricity.
4. The Company will not compensate for any damages resulting from the use of Inverter control functions, regardless of the provisions of paragraphs 1 to 3, and the user or applicant can only use such functions if they agree to this.
1. The Company may terminate all or part of the service if the applicant or user breaches this Agreement or fails to perform their obligations after being given a reasonable period to rectify the breach.
2. If the Company does not confirm the payment of the usage fee by the specified date, the Company can terminate all or part of the service without any prior notice.
3. The Company can immediately terminate all or part of the service without any notice if the applicant or user falls under any of the conditions stated in Articles 17 and 42.
4. The Company, applicant, or user can terminate the service if the performance of obligations related to the service becomes impossible due to force majeure as specified in Article 35.
1. If neither the applicant nor the Company raises an objection two months prior to the expiration of the service period, the service will automatically be extended for the same number of years as the original period from the day after the expiration. The Company will charge the applicant or user for the extended period.
2. If the payment for the usage fee is not confirmed by the specified date after the contract is renewed, the Company can suspend all or part of the service without any prior notice. However, the Company will still have the right to claim the usage fee for the period prior to the suspension.
1. If any provision of this Agreement is found to be invalid or unenforceable for any reason, the remaining provisions of this Agreement will remain unaffected, and the Agreement will be interpreted as if that provision had never existed.
1. This Agreement shall be governed by and construed in accordance with Japanese law.
2. In the event of a dispute related to this Agreement, the court with jurisdiction over the Company's principal office location will be the exclusive court of first instance.
